1. Scope
These Terms of Service ("Terms") govern your use of the China Sourcing Agent website at china-sourcing-agents.com and any sourcing services provided by 巴中市云汇科技有限责任公司 (Yunhui Technology Co., Ltd.), Sichuan, China ("we," "us," "China Sourcing Agent").
By using this website or engaging our services, you agree to these Terms. If you do not agree, do not use the site.
2. Services
China Sourcing Agent provides sourcing-related services for electronics and IoT hardware, including:
- Supplier identification and matching
- Factory audit and verification
- Quality inspection (pre-production, during-production, pre-shipment)
- Private label and OEM management
- Logistics coordination
Specific services, deliverables, timelines, and fees are agreed in writing per project (via proposal or service agreement). These Terms apply as a baseline; project-specific terms take precedence where they conflict.
3. Inquiries and proposals
Submitting an inquiry or RFQ through our contact form does not create a contract or obligation on either party. A project commences only when both parties have agreed in writing to a specific proposal, including scope, deliverables, and fees.
We do not guarantee any specific outcome (e.g., a specific factory price, lead time, or certification result), as these depend on third-party manufacturers and regulatory bodies outside our control.
4. Fees and payment
All fees are agreed per project before work begins. Unless otherwise specified:
- Commission-based engagements: invoiced as a percentage of the confirmed factory order value, due before or alongside the production deposit payment to the factory
- Project-based fees: invoiced at project start (or as milestones agreed in the proposal)
- Monthly retainers: invoiced monthly in advance
Payment is accepted via bank transfer (T/T) or PayPal Invoice. We do not accept online card payments at this time. All fees are in USD unless otherwise agreed.
Late payments (beyond 14 days of invoice date) may result in suspension of services.
5. Client responsibilities
You agree to:
- Provide accurate product specifications, BOM, regulatory requirements, and other materials we reasonably need to perform the services
- Review and approve samples, factory proposals, and inspection reports within agreed timeframes
- Not use our services for any product that is illegal, counterfeit, or subject to export controls without proper authorization
- Not approach factories we introduce you to directly for 12 months after project completion, unless agreed in writing
6. Confidentiality
Both parties will keep confidential any non-public information shared during the engagement (pricing, factory identities, product specifications, business information). This obligation survives termination of the engagement for 3 years.
We will not disclose your product specifications or project details to third parties except as necessary to perform the services (e.g., sharing a BOM with a factory for quoting purposes).
7. Intellectual property
Any deliverables we produce specifically for you (audit reports, inspection reports, supplier shortlists) are provided for your use. The underlying tools, templates, and methodologies remain our property.
You retain ownership of all product designs, specifications, and brand materials you provide to us.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- We are not liable for any defects in goods produced by factories we source, beyond our obligation to report accurately on what we observe during audits and inspections
- Our total liability for any claim arising from our services is limited to the fees paid by you for the specific engagement giving rise to the claim
- We are not liable for indirect, consequential, or incidental damages (including lost profits, lost business, or factory delays)
These limitations reflect the nature of sourcing intermediary services: we assess and report, but we do not manufacture or control production.
9. Disputes and governing law
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to the Sichuan International Commercial Arbitration Center (SICAC) for arbitration under its rules.
Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be noted at the top of this page. Continued use of our services after changes constitutes acceptance of the updated Terms.
